About the Company

Citius Transnet Investment Trust is an infrastructure investment trust focused on India’s transport sector. It oversees and invests in transportation assets, particularly roads and highways. The trust has been involved in 10 road projects, comprising 7 toll-based roads and 3 annuity-based projects, spanning over 3,400 lane kilometres.

Citius is managed by EAAA TransInfra Managers Limited (ETML), which operates under the EAAA Alternatives platform—one of the prominent alternative asset managers with assets under management of ?6,29,000 crore. In FY25, the platform reported gross revenue of ?2,050 crore from toll collections and annuity income. Its robust Right of First Offer (ROFO) pipeline includes 11 Hybrid Annuity Mode (HAM) projects, covering approximately 2,380 lane kilometres.

  Absence of Operating History: The Trust and its Investment Manager are newly set up and lack a proven track record, which creates uncertainty around future performance and cash flow generation.

  Risk Related to Formation Transactions: The acquisition of Project SPVs is contingent on obtaining regulatory approvals and meeting specified conditions. Any delays or failure to comply could impact the completion of these transactions and the execution of business plans.
